These terms cover your use of inkeep — the mobile app, the web app, online stores on inkeep.store and the website at inkeep.com.ng — provided by Monopause Limited (RC 9573669), Awka, Anambra State, Nigeria ("we", "us").
By creating a business on inkeep you agree to these terms. If you use inkeep for a company, you confirm you are allowed to accept them for it.
1. Your account and your staff
- You are responsible for your login and for the staff accounts and PINs you create. Give each person only the permissions they need.
- Tell us straight away if you think someone has used your account without permission.
- You must give correct business details. We may suspend a business that uses inkeep for fraud or anything unlawful.
2. Branch licences
- inkeep is licensed per branch. A branch is a location where you sell. Warehouses and store rooms that don't sell don't need a licence.
- Each branch licence is for one plan (for example Inkeep Standard or Inkeep Complete) and is paid once. The price, the included services and the usage allowance of each plan are shown on our pricing page at the time you buy, and on your licence receipt.
- "Lifetime" means the licence covers the included services for that branch for as long as inkeep is operated as a service by us or a successor. It does not mean a fixed number of years. If we ever stop running inkeep, we will give at least 90 days' notice and help you export all your records.
- The licence includes updates and fixes to the included services. New services we add later may be included in a plan or offered separately; we will tell you which before you pay for anything new.
- A licence belongs to your business and can be moved between your own branches (for example when a branch closes). It cannot be sold or transferred to another business.
3. Usage allowance
Each plan includes a defined usage allowance per branch — such as the number of staff accounts, signed-in devices and file storage — shown on the pricing page. Normal day-to-day business use is included. If a branch needs much more than its allowance, we will agree the extra with you before any charge.
4. Charges from other companies
Some services involve other companies, for example SMS messages, payment processing, delivery, bank transfers and domain names. Their charges are separate from your licence. We show them to you before you use or pay for them.
5. Free trial
New businesses may get a free trial of all features for the number of days shown when you sign up. When the trial ends, your records remain safe. A branch without a licence can still be opened to view its records but cannot record new sales until it has a licence. Sales made offline shortly before the trial ended are still accepted when the phone syncs.
6. Your data
- Your business records belong to you. You can export them, and you can ask us to delete your account and data at any time (see Delete your account).
- We keep your records on our servers and make encrypted backups every day, stored separately from our main server. Backups are kept for a limited time and then deleted.
- How we handle personal information is explained in our Privacy Policy.
7. Online stores
- Your store at yourname.inkeep.store, or your own domain, shows the products, prices and contact details you choose. You are responsible for what you sell and say on it, for honouring orders and for following consumer protection law.
- Customers pay you directly using the payment details you set. inkeep does not hold customer payments for you unless a separate payment service says otherwise.
- We may remove a store that sells prohibited goods or misleads customers.
8. Pharmacies and regulated products
inkeep is record-keeping and sales software. It helps you track batches, expiry dates and prescription-only items, but it is not a regulatory approval or compliance certificate. You remain responsible for complying with the rules that apply to your business, including those of the Pharmacists Council of Nigeria and NAFDAC, and for making sure prescription-only medicines are supplied only as the law allows.
9. Fair use
Don't try to break, overload or reverse-engineer the service, access other businesses' data, or use inkeep to send spam. We may limit or suspend accounts that do.
10. Availability and liability
We work to keep inkeep available and your data safe, and the app keeps working offline when our servers can't be reached. We can't promise the service will never be interrupted. To the extent the law allows, we are not liable for indirect losses such as lost profit, and our total liability for a claim is limited to the licence fees you paid for the affected branch. Nothing in these terms limits rights you have under Nigerian law that can't be limited.
11. Payments and refunds
Licence fees are shown in naira and paid as described in the app or on your invoice. If you have a problem with a payment, contact us; we handle refund requests in line with applicable Nigerian consumer protection law.
12. Changes
We may update these terms. If a change affects your licence in a material way, we will tell you in the app before it takes effect. Changes never reduce the services already included in a licence you have paid for.
13. Law
These terms are governed by the laws of the Federal Republic of Nigeria.
